As explained in our last Legal Info, the 2. Stability Act 2012, which was meanwhile passed in the Austrian National Council, also includes changes of the Austrian Act on Stock Corporations. Compared to the draft law of the 2. Stability Act 2012, further changes and modifications of the originally planned new provisions were made in the version which was now passed. Irena Gogl, LL.M. gives a short overview on the passed version of these provisions.
The draft law for the 2. Stability Act 2012 also includes changes of the Austrian Act on Stock Corporations regarding the composition of directors' remuneration, the organization of the supervisory board and the change from board of directors to supervisory board for Austrian stock corporations. During the last weeks two judgments caused quite a stir. The Austrian Supreme Administrative Court qualified the relevance of thresholds for air pollutants based on the guideline of the Federal Environmental Agency. Furthermore the Austrian Constitutional Court abrogated the exception for approval for (smaller) outdoor dining areas.
